Can a foreign citizen or a foreign company or foreign resident register an LLC in the Russian Federation in 2023

The opening process of LLC for foreign citizens and companies in Russian Federation has always been possible. Nowadays they can act as founders in Russian companies without restrictions.

However, persons from “unfriendly countries” are facing number of limitations. We have prepared short-list of the most important questions.

• Can a foreign citizen or a foreign company register an LLC in the Russian Federation in 2023?

Yes, registration of a company in Russia by foreigners is possible without any restrictions. Applicants don’t need to have Russian visa or residence permit.

• Are there any restrictions for foreign citizens and companies from “unfriendly countries”?

Currently, there are no restrictions for foreigners to open companies in Russia, including from “unfriendly countries”.

• What documents should be applied?

In addition to the standard package of documents – application for registration, a charter, resolution on set up, a document on payment state duty, documents for a legal address – applicant must have notarized translation of the passport of the foreign founder.

• Can a foreigner be the director of an LLC?

In order for a foreign citizen to be appointed as director of a company, he/she needs to obtain a work permit.

• Is it possible to open a company in the Russian Federation while abroad?

It is possible to register a company without a visit to Russia. Applicant must notarize and apostille documents on the establishment of the company.  Also the company’s registration documents can be certified at the Russian consulate.
